Terms of Service

Noise Club Ltd
Company number: 17495946
Registered in England and Wales
Contact: info@noiseclub.co.uk

These Terms explain the agreement between you and Noise Club Ltd when you create an account, buy a subscription or use Noise Club.

We have tried to write them in normal English. If you are buying Noise Club as a consumer, nothing in these Terms removes rights that the law gives you and that cannot legally be excluded.

1. About Noise Club

Noise Club is a subscription service for creating and publishing short-form social content from material supplied by its users.

You provide the music, footage, hooks, captions, campaign settings and other creative material. Noise Club uses a semi-automated video editing workflow to prepare content from those materials and, where you choose, schedule or publish it through connected social platforms.

Noise Club is not an AI content generator, social media management service or engagement bot. It does not promise views, followers, streams, sales, engagement or viral results.

2. Who these Terms apply to

These Terms apply to anyone who uses Noise Club.

You may use Noise Club as:

  • an individual or consumer;
  • an artist or band;
  • a business;
  • a manager, label, agency or other organisation; or
  • an authorised user acting for another person or organisation.

If you create an account for a business or other organisation, you confirm that you have authority to accept these Terms on its behalf.

You must be at least 18 years old to buy a Noise Club subscription.

3. Your account

You are responsible for keeping your account details accurate and your login credentials secure.

You must not share credentials in a way that allows unauthorised access to your account.

Please contact info@noiseclub.co.uk promptly if you believe somebody has accessed your account without permission.

Where a plan allows multiple artists, each artist workspace may have separate music, footage, campaigns and social connections. The account holder remains responsible for activity carried out through the account and for ensuring that they have authority to act for each artist they add.

4. Subscriptions and payment

Noise Club is offered as a recurring subscription. The price, billing period, plan features and any applicable usage limits will be shown before you subscribe.

Payments are processed by our payment provider. Noise Club does not need to store your full payment-card details itself.

Unless you cancel, your subscription will renew in accordance with the billing information shown when you subscribe.

If a payment fails, we may retry payment, ask you to update your payment method, restrict paid features or suspend the subscription until payment is resolved.

We may change subscription prices or plan features in the future. Where a change affects an existing paid subscription, we will give the notice required by applicable law before the change takes effect.

5. Consumer cancellation rights

If you are a consumer buying Noise Club online, you may have statutory cancellation rights in addition to the ability to cancel your recurring subscription.

Where the law gives you a cooling-off period, we will provide the required information during checkout and in your contract confirmation.

If you ask us to begin providing the service during a statutory cancellation period, the checkout process may ask for your express request to start the service immediately and will explain any effect this has on cancellation or payment rights.

This section does not limit any statutory consumer rights.

6. Cancelling your subscription

You can cancel a recurring subscription using the cancellation method made available in your account or by contacting us where applicable.

Cancellation stops future renewals. Unless the law or the terms shown at checkout require otherwise, paid access normally continues until the end of the period already paid for.

Cancelling your subscription is different from cancelling or pausing an individual campaign.

We will not make cancellation deliberately difficult.

7. Campaigns

A campaign tells Noise Club which material to use and how you want it used.

Depending on the features available on your plan, you may be able to:

  • choose one or more songs;
  • select or weight sections of songs;
  • choose footage;
  • add hooks and captions;
  • choose visual treatment options;
  • select publishing channels and schedules;
  • review upcoming content;
  • edit supported post information;
  • pause or resume a campaign;
  • cancel a campaign; and
  • continue a completed campaign.

Features may change as Noise Club develops. Material changes to paid plan entitlements will be handled in accordance with applicable law.

8. Content production

Noise Club uses a semi-automated editing workflow designed to remove repetitive production work.

The workflow can combine and prepare material you have supplied, including music, footage, text and campaign settings. It may make programmed editing decisions such as selecting from permitted source material, preparing vertical layouts, placing text, applying selected visual treatments and creating platform-ready files.

Noise Club only has the material and instructions you provide to work with. The quality, variety and suitability of campaign output will therefore depend partly on your source material and campaign settings.

Automated production will not produce a perfect edit in every possible case. You are responsible for reviewing content made available for review and telling us about material problems.

9. Your content remains yours

You retain ownership of the music, recordings, video, images, text, logos and other material you upload or provide to Noise Club.

Noise Club does not acquire ownership of your songs, masters, footage or artist identity simply because you use the service.

You grant Noise Club a limited, non-exclusive licence to host, copy, process, transcode, edit, combine, reproduce and transmit your content only as reasonably necessary to:

  • provide and operate Noise Club;
  • create the content and campaigns you request;
  • store your libraries and campaign files;
  • deliver files to you;
  • schedule or publish content to accounts you connect;
  • maintain, secure and troubleshoot the service; and
  • comply with the law.

This licence lasts only for as long as reasonably necessary for those purposes, subject to reasonable backup, legal and record-retention requirements.

We will not sell ownership of your uploaded music or footage.

10. You must have the right to use what you upload

You are responsible for ensuring that you have the rights and permissions necessary to upload, edit and publish the material you provide.

This includes, where relevant, rights in:

  • music and sound recordings;
  • samples;
  • video and photography;
  • artwork and logos;
  • performances and appearances;
  • text; and
  • material belonging to collaborators, labels, photographers, videographers or other third parties.

Using Noise Club does not give you rights to material you do not otherwise have permission to use.

If a third party makes a credible rights complaint, we may temporarily restrict affected material while we investigate or comply with legal obligations.

11. Social account connections

Noise Club can connect to supported social platforms so that content can be scheduled or published.

You decide which accounts to connect and must have authority to connect them.

Social connections may use third-party publishing and authorisation services. When you connect an account, you may be redirected to a social platform or provider to authorise access.

Noise Club does not control Instagram, Facebook, TikTok, YouTube, Threads or other third-party platforms. Their own terms, policies, technical requirements and account restrictions continue to apply to you.

12. Publishing is dependent on third parties

We will use reasonable care in operating Noise Club’s publishing workflow, but we cannot guarantee that every scheduled post will be accepted or published by a third-party platform.

A post may fail or behave differently because of matters outside Noise Club’s control, including:

  • platform outages;
  • API changes;
  • account restrictions;
  • expired or revoked authorisation;
  • platform eligibility requirements;
  • unsupported media;
  • moderation decisions;
  • rate limits; or
  • changes made by a social network.

Where practical, Noise Club will display publishing status or provide a way to retry or resolve failed content.

Cancelling a Noise Club campaign does not automatically remove content that has already been published to a third-party platform.

13. No performance guarantee

Noise Club provides a production and publishing workflow. It does not sell or guarantee promotional results.

We do not guarantee:

  • views;
  • reach;
  • engagement;
  • followers;
  • streams;
  • sales;
  • playlist placements;
  • algorithmic distribution; or
  • viral performance.

Your results depend on factors outside our control, including your music, footage, hooks, audience, platform behaviour and the decisions of third-party algorithms.

14. Service availability

Noise Club depends on software, hosting, storage, internet connections, third-party APIs and production infrastructure.

We aim to keep the service available and reliable, but uninterrupted availability cannot be guaranteed.

We may carry out maintenance, deploy updates or temporarily restrict a feature where reasonably necessary for security, reliability or technical reasons.

If a significant outage affects the service, we will take reasonable steps to restore it.

15. Fair and acceptable use

You must use Noise Club lawfully and in accordance with our Acceptable Use Policy.

We may apply reasonable technical or usage limits to protect the service from abuse, excessive load or use that is materially outside the plan purchased.

Any important plan limits should be shown clearly before purchase rather than hidden in these Terms.

16. Things you must not do

You must not:

  • use Noise Club for unlawful purposes;
  • upload material you have no right to use;
  • attempt to gain unauthorised access to another account or our systems;
  • interfere with the operation or security of the service;
  • use the service to distribute malware or malicious code;
  • use connected social accounts for spam, fake engagement or platform manipulation through Noise Club;
  • impersonate another person or artist without authority; or
  • use Noise Club in a way that puts us in breach of law or a third-party platform’s rules.

More detail appears in the Acceptable Use Policy.

17. Suspension and termination

We may suspend or terminate access where reasonably necessary because of:

  • serious or repeated breach of these Terms;
  • non-payment;
  • security risk;
  • unlawful activity;
  • infringement complaints;
  • abuse of the service; or
  • a legal or regulatory requirement.

Where appropriate, we will try to explain the reason and give you a reasonable opportunity to fix the problem.

We may terminate Noise Club as a service in the future. If that happens, we will provide reasonable notice where practicable and deal fairly with prepaid subscription periods.

18. What happens to content after cancellation

When a subscription ends, paid features may stop and campaigns may no longer continue producing or scheduling new content.

Where content remains available in your account after your subscription ends, you should retrieve anything you wish to keep promptly. Noise Club is not intended to be your only archive of original music, footage or other creative files.

We may delete account content after a reasonable retention period, subject to backups, legal requirements and information we need to retain for accounting, fraud prevention or dispute handling.

The Privacy Policy explains how personal data is handled after an account closes.

19. Back up important originals

Noise Club is a production service, not a permanent archive.

Keep your own copies of important original music, footage and other creative files.

20. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or rights that consumers cannot legally waive.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or failure to use reasonable care and skill, subject to applicable law. We are not responsible for losses that are not foreseeable or for business losses arising from consumer use.

If you use Noise Club wholly or mainly for business purposes, our liability should be interpreted subject to applicable law and any final business-liability wording adopted before launch.

21. Changes to Noise Club and these Terms

Noise Club will continue to develop.

We may change features or these Terms where reasonably necessary, including because of new functionality, security, third-party platform changes or legal requirements.

If a change materially affects an existing paid subscription or your legal rights, we will give the notice required by law.

The latest version of these Terms will be available on the Noise Club website with its effective date.

22. Privacy

Our Privacy Policy explains how Noise Club Ltd uses personal data.

Our Cookie Policy explains the storage and access technologies used on our website and service.

23. Complaints and support

If something has gone wrong, please contact:

info@noiseclub.co.uk

We would rather have the opportunity to fix a problem than make you hunt around for somebody to speak to.

24. Governing law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.

If you are a consumer, you will retain any mandatory protections given to you by the laws of the country in which you live and may have the right to bring proceedings in your local courts.

If you are using Noise Club for business purposes, the courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms.
